Our Terms & Conditions

Yourmobile.com is a trading name of Chase Direct Ltd (“We” and “Us”) which is registered in England and Wales number 09566449. Our registered office and trading address is Grosvenor House, Telford Shropshire, TF2 9TW. We are registered for VAT with registration number GB231637327.

The definitions and rules of interpretation set out in Schedule 1 apply in these Conditions.

2.1
The Contract starts on and is effective from the time and date of agreement to proceed (The Commencement Date) and shall continue until terminated by either party in accordance with these Conditions.

2.2
Where applicable and where a Network Provider rejects the Network Contract and/or refuses to enter in to the Network Contract (on or after the Commencement Date), the Contract shall remain in full force and We may elect to provide the services in place of the Network Provider (on an MVNO basis) or shall use reasonable endeavours to procure Network Services from an alternative Network Provider on similar terms to the Network Contract whereupon You shall be obliged to co-operate in entering in to an alternative Network Contract. If You refuse to sign an alternative Network Contract or fail to do so within 14 days a request by Us or the Network Provider, We shall be entitled to terminate the Contract and clause 14 shall apply.

2.3
Where a Network Provider requires the payment of a deposit as a condition precedent to entering into the Network Contract You shall be liable to pay such deposit. If You refuse to
pay such deposit or fail to do so within 14 days of a request by Us or the Network Provider, We shall be entitled to terminate the Contract and clause 14 shall apply.

2.4
As part of Yourmobile.com credit management procedures, We may at any time during the Contract require You to pay a deposit or provide a guarantee as security for the payment of future invoices. If You refuse to pay a deposit or provide a guarantee (or fail to do so within 14 days of Our request, We shall be entitled to terminate the Contract and clause 14 shall apply.

2.5
Yourmobile.com offers no warranty in respect of mobile signal coverage. You and Us acknowledge that each of the major Network Providers advertise 98 per cent or more network coverage in the United Kingdom but such coverage cannot be verified by Us. You acknowledge that prior to signing the Contract, You have taken all reasonable steps to ensure that the mobile network being connected to under the Contract or Network Contract has sufficient signal or coverage in Your location and in all the locations where You need a reliable mobile signal.

2.6
Notwithstanding clause 13 of these Conditions, We may terminate the Contract, without any liability to You, during the first 30 days from the Commencement Date for any reason
whatsoever upon providing 7 days’ notice to You. In that case, We will refund any Charges paid

by You except that We will be entitled to retain any part of the Charges that relate to costs incurred by Us up to and including the date of termination.

2.7
These Conditions apply to the Contract to the exclusion of any other terms that You seek to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

2.8
Any quotation given by Yourmobile.com shall not constitute an offer and is only valid for a period of 10 Business Days from its date of issue. All quotations are based solely on information provided by You to Us (for example contract end dates, tariff/ billing information, number of handsets, current network or 3rd party provider contract terms) and We cannot accept any liability for mistakes made in calculating tariffs at the point of contract.

You are responsible for adding any caps and alerts and monitoring Your own spending. You acknowledge and agree that all caps and alerts, for example with Plan, have a timing delay therefore an overspend can still occur.

2.9
All of these Conditions shall apply to the supply of both Services and Mobile Equipment except where application to one or the other is specified.

2.10
The Contract between You and Us will be formed when We accept Your Order. By submitting Your Order, You acknowledge and agree that you accept these Conditions.

2.11. If you qualify as a consumer within the definition of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the statutory right to cancel this contract (“the cancellation period”) without giving any reason.

2.12. The initial cancellation period will expire 14 days after the day you provided us with your agreement to proceed.

2.13. You will be required to pay for any services already provided.

3.1
The Mobile Equipment to be provided under the Contract shall be specified in the Order.

3.2
The provision of Mobile Equipment is subject to availability. If We are unable to provide the Mobile Equipment specified in the Order, We may supply other Mobile Equipment of an equivalent or higher specification.

3.3
Subject to clause 3.6 of these Conditions, the Mobile Equipment shall be delivered within 3 months of the Commencement Date. If We are unable to source or provide the Mobile Equipment or substitute Mobile Equipment within such period, We shall credit Your Account with the equivalent value of Our trade purchase cost (excluding VAT) of the Mobile Equipment. Such credit to be made in accordance with clause 9 of these Conditions as though it Were a Deal Incentive.

3.4
The Mobile Equipment shall be delivered to the location set out in the Order or such other location as the parties may agree (Delivery Location).

3.5
Delivery of the Mobile Equipment shall be deemed completed on the second business day after posting by Yourmobile.com or the Network Provider or on the second business day following
the Mobile Equipment being collected from Yourmobile.com or the Network Provider from a courier with instructions to deliver to the Delivery Location.

3.6
Any dates quoted for delivery of the Mobile Equipment are approximate only, and the time of delivery is not of the essence. We shall not be liable to You for any delays in delivery, however caused.

4.1
You acknowledge that We are not the manufacturer of the Mobile Equipment and as such, to the fullest extent permitted by Law, We do not give any warranty as to the quality or suitability of the Mobile Equipment for Your purposes, however, where possible, We shall pass on to You, the benefit of any warranties that We receive from the manufacturer of the Mobile Equipment.

4.2
You acknowledge that any attempt to repair, service or tamper with the Mobile Equipment may invalidate the manufacturer’s warranty.

4.3
Subject to clause 4.1, We warrant that on delivery, the Mobile Equipment will conform in all material respects with their description and be free from material defects in design, material and workmanship.

4.4
If You notify Us in writing within a reasonable time of discovery, that the Mobile Equipment does not comply with the warranties in clause 4.3, and You return the Mobile Equipment to Us, We will, at Our option, repair or replace the defective Mobile Equipment or credit Your Account with the cost of the defective Mobile Equipment (if You have already paid for the Mobile Equipment) or issue a credit note (if You have not yet paid).

4.5
We will not be liable for breach of the warranty in clause 4.4 if:
(a) You make any further use of the Mobile Equipment after giving Us notice under clause 4.4;
(b) the defect arises as a result of following any instructions or specification supplied by You;
(c) You alter, repair or tamper with the Mobile Equipment;
(d) The defect arises as a result of fair Wear and tear, willful or accidental damage, negligence, or abnormal storage or working conditions; or
(e) If the Mobile Equipment differs from their description or specification as a result of changes made to ensure that they comply with statutory or regulatory requirements.

4.6
We will only be liable to You for the Mobile Equipment’s failure to comply with the warranty set
out in clause 4.3 to the extent set out in this clause 4.

5.1
Risk of loss or damage to the Mobile Equipment shall pass to You on completion of delivery.

5.2
Subject to clause 5.3, ownership of the Mobile Equipment shall not pass to You until all sums due under the Contract, including but not limited to Cancellation Fees, have been paid by You to Us.

5.3
Title to the Mobile Equipment shall not pass to You until the later of the fulfilment of any minimum term of any Network Provider Agreement and the Supplier receiving payment in full (in cash or cleared funds) for the Goods and any other goods that the Supplier has supplied to the Customer in respect of which payment has become due, in which case title to the Goods shall pass at the time of payment of all such sums.

5.4
Until ownership of the Mobile Equipment has passed to You, You shall:
(a) keep the Mobile Equipment in satisfactory condition and keep it insured against all risks for its full price on Our behalf from the date of delivery:
(b) notify Us immediately if You become subject to any of the events listed in clause 13.2(b) to clause 13.2(d); and
(c) give Us such information relating to the Mobile Equipment as We may require from time to time.


5.5
If before ownership of the Mobile Equipment passes to You, You become subject to any of the events listed in clause 13.2(b) to clause 13.2(d), then, without limiting any of Our other rights or remedies, We may at any time:

(a) require You to return to Us, all Mobile Equipment in Your possession and
(b) if You fail to do so promptly, enter any of Your premises or the premises of any third party where the Mobile Equipment is stored in order to recover each item of Mobile Equipment.
(c) blacklist or block the usage of any equipment provided by us.

6.1
In consideration of You paying the Charges and fulfilling all of Your commitments as set out in the Contract, We agree to supply the Services and/or the Mobile Equipment subject to the provisions of the Contract.

6.2
You agree to receive the Services and Mobile Equipment on the terms of the Contract.

7.1
You shall:
(a) ensure that the terms of the Order are complete and accurate:
(b) co-operate with Us in all matters relating to the Services and Network Services:provide Us with such information and materials as We may reasonably require in order to supply the Services and Mobile Equipment (including, but not limited to, providing porting access codes to enable connection of the Services), and ensure that such information is complete and accurate in all material respects:
(c) promptly notify Us of a change of address, change of registered office or change of trading location(s);
(d) where applicable, comply with all terms of the Network Contract including, but not limited to, the terms for payment of all charges and fees under the Network Contract and those of yourmobile.com
(e) authorise the Network Provider to disclose all information to Us relating to the Network Contract:
(f) if provided with 15 or more mobile devices under the Contract, set up on-line billing and not cancel on-line billing prior to the termination of the Contract:
(g) within 30 days of the Commencement date, send Us all mobile phone handsets (together with any pass codes or words required to operate each handset) in the possession or ownership of the Customer which shall not be used or needed by the Customer for the provision of the Services under the Contract:
(h) where applicable, allow Us access to Your premises at all reasonable times requested by Us for the purposes of installing the Mobile Equipment and as otherwise reasonably required for the provision of the Services:
(i) where applicable, ensure that Your premises are ready to receive the Services (including without limitation, installation of applicable wiring and power supplies):
(j) Set up full third-party access with the Network Provider to enable Us to have full access to Your account with the Network Provider and to all information in connection with Your account.

8.1
The price for the Services and Mobile Equipment shall be the price set out in the Order together with the charges set out in clauses 8.2 and 8.3. The Customer acknowledges that certain charges may be payable directly to the Network Provider and/or where applicable to Yourmobile.com in respect of Mobile Equipment. Additional charges may be incurred for additional services and out of bundle charges (unless indicated as inclusive in the Order), including but not limited to, bolt on services, call features, calls to international numbers, calls to the Channel Islands, roaming charges, calls to service numbers, calls to premium rate numbers, calls to some 08 & all 09 numbers, calls to 0845 & 0870 numbers, calls to 0500 numbers, calls to mobiles, calls to retrieve messages, internet calls, calls above the Fair Usage Policy,

Yourmobile.com will not be responsible for any overspend accrued by You at any time.

If You decide to add a bill limit (cap) to your account, this applies to your use of your mobile phone to send text messages, make calls and use data. This does not cover other charges on your bill that may be charged by your network provider, (plan.com) but are not mobile phone services, for example, fees for paper bills or late payment fees.

A bill limit does not cover other types of services provided by third parties that you may use your mobile phone to access. For example, a bill limit does not have to include the full cost of premium rate services (which usually operate on numbers beginning 09, 118, 084, 087 or five- or six-digit mobile voice and text short codes) but it will include the provider’s charge for accessing these services. See further explanation about the difference between access charges and service charges. Similarly, a bill limit will not cover certain ‘charge to mobile’ services that allow you to pay for goods and services from app stores, third party publishers and merchants via your phone bill.
If you decide not to add a cap (bill limit) to your account, you will be liable for all costs attributable to additional charging.

8.2
You will be liable to pay to Yourmobile.com:

(a) A discretionary fee of £100:
(b) the original cost of any equipment provided to you (including but not limited to handsets, boost boxes, telephony hardware):
and
(c) any monies already paid to you in respect of any buyout (see section 10)


This charge will be triggered if a contract is cancelled, or if You were to leave the contract before the contract term is fulfilled and if such a request is made during the Minimum Period, clause 14.2 shall apply.

8.3
Yourmobile.com reserves the right to:

(a) increase the Charges from time to time and shall provide the Customer with at least 7 days’ notice prior to such an increase taking effect. For the avoidance of doubt, the Customer shall not be entitled to terminate the Contract upon any increase in Charges; and
(b) increase the price of the Mobile Equipment, by giving notice to You at any time before delivery, to reflect any increase in the cost of the Mobile Equipment to Us.

8.4
We may invoice You for Charges under the Contract at any time. Where applicable, Network Services shall be invoiced by and payable to the Network Provider. Where a Mobile Equipment has been provided, the provider of Mobile Equipment under such contract shall invoice the Customer accordingly. We may invoice on a monthly basis for MVNO Services.

8.5
You shall pay each invoice submitted by Us:

(a) within 7 days of the date of the invoice; and in full and in cleared funds to a bank account nominated in writing by Us.

8.6
You shall be liable to pay the Charges whether the Services are being utilised by You or a third party. This includes all Charges arising from unauthorised or fraudulent use.

8.7
Invoices shall be deemed to be undisputed, and You shall not be entitled to dispute an invoice unless You notify Us in writing of any dispute (clearly identifying the reasons for the dispute) within 30 days of the date of the invoice.

8.8
All amounts payable by the Customer under the Contract, Network Contract or in respect of Mobile Equipment are exclusive of any applicable value added tax (VAT) for which You are additionally liable. We will add VAT to invoices at the applicable rate from time to time.

8.9
If You fail to make a payment due to Us under the Contract by the due date, then, without limiting our other remedies under the Contract, You shall pay interest on the overdue sum from the due date until payment of the overdue sum, whether before or after judgment.

Interest under this clause 8.9 will accrue each day at 4% a year above the Barclays Bank’s base
rate, compounding quarterly.

8.10
You shall pay all amounts due under the Contract in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law). We may, without limiting Our other rights or remedies, set off any amount owing to Us by You against any amount payable by Us to You.

8.11
Where required by the Network Provider, you will pay a deposit to the Network Provider immediately prior to connecting to the Network Provider’s network. The deposit is refundable by the Network Provider direct to You on the 12-month anniversary of the connection date, subject to You demonstrating an acceptable payment and usage history. The decision as to whether to refund a deposit is taken solely at the discretion of the Network Provider and We shall have no liability to You if a deposit is not refunded.

8.12
The Order may specify a sum that Yourmobile.com is prepared to reimburse the Customer to cover some or all of the termination charges. (Buyout). Yourmobile.com shall reimburse the Customer with the Buyout specified in the Order upon receipt of a VAT invoice from the Customer to Yourmobile.com for the amount of the Buyout (the value of the Buyout specified in the Order shall be inclusive of VAT).

8.13
Any overdue invoice issued to the Customer may be referred to a third-party debt agency and
the Customer shall be liable to pay such third party’s fees in addition to Legal Costs.

9.1
Where a Deal Incentive is specified in the Order, subject to clause 9.2, We shall reimburse You (or provide a credit in the case of MVNO Services) for the amount of any Deal Incentive upon You first providing Us with a valid VAT invoice from You to Us for the amount of the monthly Deal Incentive (the value of the Deal Incentive specified in the Order shall be
inclusive of VAT). No invoice shall be required where We are providing MVNO Services.

9.2
You shall be liable to pay the Network Provider the full amount of all charges under the Network Contract irrespective of any Deal Incentive. Provided You have not committed a breach of the Contract or any Network and upon receipt of an invoice in accordance with clause 9.1, We shall reimburse or credit You for the amount of the Deal Incentive. The payment under this clause 9 shall be made in equal, monthly instalments starting with the first payment within 90 days of receipt of the Customer’s invoice issued in accordance with clause 9.1 (or credit 1 month from the connection of the services in the case of MVNO Services) and ending at the Review Point referred to in clause 15. For the avoidance of doubt, no Deal Incentive shall be due or payable after the Review Point. Where the terms of this clause 9 are inconsistent with the Order, this clause 9 shall prevail.

9.3
If You breach (or We reasonably believe You are in breach of) the Contract or the Network Contract, we reserve the right to suspend payment of the Deal Incentive until the breach is remedied.

10.1
You acknowledge that by entering into the Contract and/or the Network Contract, you may have to pay termination or other charges to a Network Provider or third party for cancelling or terminating a pre-existing contract with that Network Provider or third party.

10.2
The Order may specify a sum that We are prepared to reimburse You to cover some or all of the termination charges referred to in clause 10.1 (Buyout). Subject to clause 10.3 (or 10.4 in the case of MVNO Services), We shall reimburse You with the Buyout specified in the Order upon receipt of a copy of your final bill from your previous provider and a valid VAT invoice from You to Us for the amount of the Buyout (the value of the Buyout specified in the Order shall be inclusive of VAT). You must provide us with a valid VAT invoice for any agreed Buyout along with a copy of your final (prior network) bill and former provider’s invoice showing the termination charges within 30 days of connection.

10.3
Notwithstanding this clause 10, it shall remain Your liability to pay any termination or similar charges referred to in clause 10.1. Provided that You are not in breach of the Contract or any Network Contract (excluding any pre-existing contract for services similar to those provided under the Contract), and upon receipt of an invoice
in accordance with clause 10.2, We shall reimburse You for the amount of the Buyout. The reimbursement under this clause 10 shall be paid monthly in equal instalments over the Minimum Period and the first reimbursement payment shall be made after 45 days of receipt by Us of Your invoice issued in accordance with clause 10.2.

10.4
Subject to the remaining provisions of this agreement, where We are providing MVNO Services and provided You are not in breach of the Contract, We shall reimburse You with the Buyout amount specified in the Order (subject to receipt by Us of a copy invoice showing the previous supplier’s termination charges) by way of a pro rata credit against Your invoices over 4 months.
By way of example, if the Buyout is for £1000, We shall credit Your invoice in the sum of £250 for 4 months.

10.5
Where We, despite not being contractually obliged to do so, pay the Buyout sum whether in a lump sum or instalments, to the Customer up front, the Customer shall pay such sum to the previous Network Provider in respect of the termination fees for the pre-existing contract without delay.

If the payment is to a sole trader and the credit score of an individual was to significantly deteriorate post contract start date to a Creditsafe score of bands 1 or 2, if the individual was made bankrupt, or to enter an IVA then the payment can be delayed. If the payment is to be made to a limited company and that credit score was reduce to below £500 or classified as cash only transactions or bankruptcy or a county court judgement was entered against the ltd company, then the payment can also be delayed. A significant change in said credit score will result in said payment taking place once contract has been fulfilled.

10.6
All claims for reimbursement must be made within six months of the initial service connection date, claims made after six months may not be considered for payment.

11.1
Each party undertakes that it shall not at any time during the Contract, and for a period of three years after termination of the Contract, disclose to any person any confidential information including, but not limited to, the business, affairs or charges of the other party, except as permitted by clause 11.2.

11.2
Each party may disclose the other party’s confidential information:

(a) to its employees, officers, representatives, subcontractors or advisers who need to know such information for the purposes of carrying out the party’s obligations under the Contract. Each party shall ensure that its employees, officers, representatives, subcontractors or advisers to whom it discloses the other party’s confidential information comply with this clause 11.
(b) as may be required by law, a court of competent jurisdiction or any governmental or regulatory authority; and
(c) as permitted in accordance with clause 11.4.

11.3
Neither party shall use the other party’s confidential information for any purpose other than to
perform its obligations under the Contract.

11.4
We may disclose Your confidential and other information to the Network Provider to enable Us to provide the Services.

12.1
Nothing in these Conditions shall limit or exclude Our liability for:
(a) death or personal injury caused by Our negligence, or the negligence of Our employees, agents or subcontractors;
(b) fraud or fraudulent misrepresentation; and
(c) any other matter in respect for which liability cannot lawfully be limited or excluded.

12.2
Subject to clause 12.1, We shall not be liable to You, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with the Contract for:

(a) loss of profits;
(b) loss of sales or business;
(c) loss of agreements or contracts;
(d) loss of anticipated savings;
(e) loss of use or corruption of software, data or information;
(f) loss of or damage to goodwill; or
(g) any indirect or consequential loss.

12.3
Subject to clause 12.1, Our total liability to You, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising under or in connection with the Contract, shall be limited to the amount paid or payable by You to Us for Charges during the Year in which the incident giving rise to the claim arises.


12.4
The terms implied by sections 13 to 15 of the Sale of Goods Act 1979 (as amended) and the terms implied by sections 3 to 5 of the Supply of Goods and Services Act 1982 (amended) are, to the fullest extent permitted by law, excluded from the Contract.

12.5
This clause 12 shall survive termination of the Contract.

13.1
Subject to clause 14.2, You may terminate the Contract at any time by giving Us 30 days’ written
notice.

13.2
Without affecting any other right or remedy available to it, either party may terminate the Contract with immediate effect by giving written notice to the other party if:

(a) the other party commits a material breach of its obligations under the Contract and (if such breach is remediable) fails to remedy that breach within 30 days after receipt of notice in writing to do so;
(b) the other party takes any step or action in connection with its entering administration, provisional liquidation or any composition or arrangement with its creditors (other than in relation to a solvent restructuring), being wound up (whether voluntarily or by order of the court, unless for the purpose of a solvent restructuring), having a receiver appointed to any of its assets or ceasing to carry on business;
(c) the other party suspends, or threatens to suspend, or ceases or threatens to cease to carry on all or a substantial part of its business; or
(d) the other party’s financial position deteriorates to such an extent that in the terminating party’s opinion the other party’s capability to adequately fulfil its obligations under the Contract has been placed in jeopardy.

13.3
Without affecting any other right or remedy available to Us, We may terminate the Contract with immediate effect by giving You written notice if:
(a) You fail to pay any amount due under the Contract or Network Contract or Mobile Equipment Contract on the due date for payment; or
(b) You undergo a change of Control.

13.4
Without affecting any other right or remedy available to Us, We may suspend the supply of Services, disconnect the Services and /or mobile equipment, or suspend all further deliveries of Mobile Equipment under the Contract or any other contract between You and Us if

(a) You fail to pay any amount due under the Contract on the due date for payment;
(b) You become subject to any of the events listed in clause 13.2(b) to clause 13.2(d), or We reasonably believes that You are about to become subject to any of them; or
(c) You fail to sign a Network Contract or pay a deposit when required to do so in accordance with clauses 2.2, 2.3 or 2.4.

14.1
On termination of the Contract You shall immediately pay to Us all Charges together with all of Our outstanding unpaid invoices and interest and, in respect of Services and Mobile Equipment supplied or Charges for which no invoice has been submitted, We shall submit an invoice, which shall be payable by You immediately on receipt;

14.2
Cancellation Fees will be payable by You to Us if prior to the expiry of the Minimum Period:

(a) the Contract is terminated for any reason; or
(b) the Network Contract is terminated; or
(c) the Network Services are disconnected as a consequence of the Customer’s breach of the
Network Contract;

14.3
The Cancellation Fees payable in accordance with clause 14.2 shall be invoiced by Us to You and shall be payable immediately upon receipt.

14.4
You acknowledge that the Cancellation Fees represent a genuine pre-estimate of the loss suffered that would be suffered by Us due to early termination, having regard to the overall commercial deal between the us and that the Cancellation Fees do not represent a penalty.
Termination or expiry of the Contract shall not affect any rights, remedies, obligations and liabilities of either of us that have accrued up to the date of termination or expiry, including the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination or expiry.

14.6
Any provision of the Contract that expressly or by implication is intended to have effect after termination or expiry shall continue in full force and effect.

15.1
Where the Order specifies an upgrade or review point, We shall review the Contract and/or the Network Contract and the monthly charges being paid by You (Review). Following any Review, We may (but are not obliged) to offer You a new contract and if You elect to accept the offer, You shall sign a new Contract (New Contract) including a new Purchase Order or Application Form (New Order).

15.2
Where You agree to a New Contract, clause 14.2 shall not apply to the (old) Contract and You will be bound by the terms of the New Order, including any new minimum term or period
specified in the New Order.

15.3
Where the terms of this clause 15 are inconsistent with the Order, this clause 15 shall prevail.

15.4
Nothing in this clause 15 or the Contract obliges Us to provide any upgraded or new Mobile Equipment or to reduce the Charges payable by You upon conducting a Review. Any Mobile Equipment and the cost of such Mobile Equipment to be provided in the New Contract shall be specified in the New Order.

16.1
The parties shall use their reasonable endeavours to resolve disputes arising from or in connection with the Contract (Dispute) in good faith. If either party wishes to raise a Dispute, it shall notify the other party in writing (in accordance with clause 18.2) clearly identifying the reasons for the Dispute and providing copies of any supporting documentation that is relied on.

16.3
Nothing in this Contract prevents Us from seeking a legal remedy through the courts at any time. The time costs of Our solicitor dealing with a Dispute (including but not limited to the recovery of Charges and/or Cancellation Fees) both before and during any court claim shall be payable by You to Us on an indemnity basis at the guideline rate for a band A fee earner specified at www.gov.uk/guidance/solicitors-guideline-hourly-rates and at the grade for where Your principal place of business is situated (Legal Costs). The Customer acknowledges that such Legal Costs are reasonable and payable notwithstanding rule 27.14 of the Civil Procedure Rules or any successor provision dealing with the recoverability of costs on the small claims track.
We may refer any overdue invoice to a third-party debt agency, and You shall be liable to pay
such third party’s fees in addition to Our Legal Costs.

Neither party shall be in breach of the Contract nor liable for delay in performing or failure to perform, any of its obligations under the Contract if such delay or failure result from events, circumstances or causes beyond its reasonable control.

18.1
Assignment and other dealings

(a) We may at any time novate the Contract or assign, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any or all of Our rights and obligations under the Contract.
(b) You shall not assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any of its rights and obligations under the Contract.

18.2
Notices.

(a) Any notice or other communication given by You to Us under or in connection with the Contract shall be in writing and shall be delivered by hand or by pre-paid recorded delivery post or next working day delivery service at Our registered office or such other address where We ask You to send notices to.
(b) Any notice or other communication given by Us to You under or in connection with the Contract shall be sent to the Your contact email address specified in the Order (or such other primary email address of the Yours as We may elect), or by post to Your registered office (if a company) or the address specified in the Order or any other address where You request Us to send notices to.
(c) Any notice or other communication shall be deemed to have been received: if delivered by hand or recorded delivery post or by a next working day delivery service, on signature of a delivery receipt; if sent by first or second-class post (non-recorded) at 9am on the second business day after posting; or if sent by email at the time of transmission.
(d) This clause does not apply to the service of any proceedings or other documents in any legal action or, where applicable, any other method of dispute resolution.

18.3
Severance. If any provision or part-provision of the Contract is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part- provision shall be deemed deleted. Any modification to or deletion of a provision or part- provision under this clause shall not affect the validity and enforceability of the rest of the Contract.

18.4
Waiver. A waiver of any right or remedy under the Contract or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. A failure or delay by a party to exercise any right or remedy provided under the Contract or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy provided under the Contract or by law shall prevent or restrict the further exercise of that or any other right or remedy.

18.5
No partnership or agency. Nothing in the Contract is intended to, or shall be deemed to, establish any partnership or joint venture between the parties, constitute either party the agent of the other, or authorise either party to make or enter into any commitments for or on behalf of the other party.

18.6
Entire agreement.

(a) The Contract constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.
(b) Each party acknowledges that in entering into the Contract it does not rely on and shall have no remedies in respect of any statement, representation, assurance or warranty that is not set out in the Contract.

18.7
Third parties’ rights. The Contract does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract.

18.8
Variation. Except as set out in these Conditions, no variation of the Contract shall be effective unless it is agreed in writing and signed by the parties (in the case of Yourmobile.com to be signed by a director). We may change these Conditions from time to time and the varied or updated Conditions shall be available to view at Yourmobile.com. Minor changes will take effect immediately upon the varied Conditions being posted at Yourmobile.com and material changes shall take effect 30 days after the varied Conditions have been posted at Yourmobile.com.

18.9
Governing law. The Contract and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.

18.10
Jurisdiction. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Contract or its subject matter or formation.

19.1.
In this Condition 19, the terms “data controller”, “data processor”, “personal data”, “sensitive personal data”, “data subject” and “process” will each have the meaning attributed to them in the DPA until 25 May 2018 and thereafter the meaning set out in the GDPR.

19.2.
Chase Direct Ltd t/a Yourmobile.com operates in accordance with the Data Protection Legislation. The Customer agrees that its details, or those of its Users may be used and disclosed by Yourmobile.com for the purposes of:
a) for providing the Services, equipment and related products to the Customer, administration of the Customer’s account and billing, advertising, marketing, research, analytics, credit scoring, customer services, tracking the equipment the Customer is using on the Network and web use and profiling the Customer’s preferences. Yourmobile.com may disclose the Customer’s information to its service providers and agents to help with these purposes
b) for marketing purposes including informing the Customer and its Users from time to time about other Services or associated technologies; and
c) fulfilling the terms of the Agreement.

19.3.
Yourmobile.com and its selected Third Parties may also use the location of the equipment that the Customer is using with the Network to tell the Customer about:
a) products and services of Yourmobile.com or a Third Party’s,

b) products and services that may be of interest to the Customer and for research and analytics purposes.

19.4.
If the Customer or a User does not want its details, or, in the case of the Customer those details of its Users to be used for direct marketing purposes in this way then the Customer should contact yourmobile.com via the website or by calling 0345 222 6000 or at the following address; Chase Direct Ltd, Grosvenor House, Hollinswood Road, Telford, TF2 9TW

19.5.
The Customer will ensure that its Users have consented to the use of their details in accordance with Condition 19.2. a. Customer details and those of its Users shall be treated in accordance with yourmobile.com’s Privacy Policy.

19.6.
Yourmobile.com will keep the Customer’s information for a reasonable period after the Service Term ends or is terminated by the Customer or the Agreement is terminated for any reason in case the Customer decides to use yourmobile.com’s Services again and may contact the Customer about yourmobile.com’s Services during this time.

19.7.
The Customer’s data may also be used for other purposes for which the Customer gives or any User gives specific permission in the Agreement or otherwise or when required by law or where permitted under the Data Protection Legislation.

19.8.
The parties shall comply with the provisions and obligations imposed on them by the Data Protection Legislation at all times when processing personal data in connection with this Agreement, which processing shall be in respect of the types of personal data, categories of data subjects, nature and purposes required for the performance of their rights and obligations under this Agreement and the provision of the Services. To the extent that yourmobile.com is required as part of the Services to process personal data as a data processor only, Yourmobile.com shall:
a) process such personal data
(i) only in accordance with the Customer’s written instructions from time to time (including those set out in this Agreement), unless it is otherwise required by Applicable Laws (in which case, unless such law prohibits such notification on important grounds of public interest, yourmobile.com shall notify the Customer of the relevant legal requirement before processing the personal data), and
(ii) only for the duration of this Agreement;
b) not process such personal data for any purpose other than those set out in this Agreement or otherwise expressly authorised by the Customer;
c) take reasonable steps to ensure the reliability of all its personnel who have access to such personal data, and ensure that any such personnel are committed to binding obligations of confidentiality when processing such personal data;
d) implement and maintain technical and organisational measures and procedures to ensure an appropriate level of security for such personal data, including protecting such personal data against the risks of accidental, unlawful or unauthorised destruction, loss, alteration, disclosure, dissemination or access;
e) not transfer such personal data outside the European Economic Area without the prior written consent of the Customer;
f) inform the Customer within 36 hours if any such Personal Data is (while within yourmobile.com’s or its subcontractors’ possession or control) subject to a personal data breach (as defined in Article 4 of GDPR) or is lost or destroyed or becomes damaged, corrupted or unusable;
g) only appoint a third party (including any subcontractors) to process such personal data with the prior written consent of the Customer;
h) not disclose any personal data to any data subject or to a third party other than at the written request of the Customer or as expressly provided for in this Agreement:
i) return or irretrievably delete all personal data within one month of the termination or expiry of this Agreement, and not make any further use of such personal data (except to the extent Applicable Laws require continued storage of the personal data by yourmobile.com and yourmobile.com has notified the Customer accordingly);
j) provide to the Customer and any DP Regulator all information and assistance necessary or desirable to demonstrate or ensure compliance with the obligations in this Condition 19 and/or the Data Protection Legislation;permit the Customer or its representatives to access any relevant premises, personnel or records of yourmobile.com on reasonable notice to audit and otherwise verify compliance with this Condition
k) take such steps as are reasonably required to assist the Customer in ensuring compliance with its obligations under Articles 30 to 36 (inclusive) of GDPR;
l) notify the Customer within ten (10) Business Days if it receives a request from a data subject to exercise its rights under the Data Protection Legislation in relation to that person’s personal data; and
m) provide the Customer with its full co-operation and assistance in relation to any request made by a data subject to exercise its rights under the Data Protection Legislation in relation to that person’s personal data.
19.9.
Yourmobile.com may transfer Personal Data in connection with the provision of the Services, including to any subcontractor or supplier, and such transfer may be outside the European Economic Area. In such circumstances yourmobile.com will:

a) take reasonable steps to ensure the reliability of such subcontractors and prior to any such transfer will enter into a written agreement with such subcontractor containing contractual provisions which ensure an adequate level of protection for the rights and freedoms of data subjects in relation to the processing of the Personal Data; and

b) comply with the Eighth Data Protection Principle set out in Schedule 1 of the Data Protection Act 1998 by providing an adequate level of protection to any Personal Data that is transferred.
19.10.
The Customer acknowledges that when acting as a data processor, yourmobile.com is reliant on the Customer for direction as to the extent yourmobile.com is entitled to use and process the personal data in connection with the Services. Consequently, yourmobile.com shall be entitled to relief from liability in circumstances where a data subject makes a claim or complaint with regards to yourmobile.com’s actions to the extent that such actions result from instructions received from the Customer.
19.11.
If either Party receives any complaint, notice or communication which relates directly or indirectly to the processing of personal data under this Agreement or to either Party’s compliance with the Data Protection Legislation, it shall as soon as reasonably practicable notify the other Party and it shall provide the other Party with reasonable co-operation and assistance in relation to any such complaint, notice or communication.
19.12.
Yourmobile.com and/or a Network Operator or supplier may at the request of the Customer monitor and record calls made by the Customer using the VoIP Services
a) to enable yourmobile.com to investigate and, if possible, resolve any voice call quality issue reported to it by the Customer and/or
b) on behalf of the Customer as part of the VoIP Service. Yourmobile.com or a Network Operator or supplier may also monitor and record its communications with the Customer, including emails and phone conversations for training purposes, quality assurance, to record details about the Services ordered by the Customer or in order for yourmobile.com or a Network Operator or supplier to meet its legal and regulatory obligations generally. Information collected by yourmobile.com or a Network Operator shall be stored and processed in accordance with Yourmobile.com’s Privacy Policy.
c) The Customer agrees and acknowledges that yourmobile.com and/or Plan.com may monitor and record calls to 999 and 112 emergency services.
d) All such recordings shall be used solely for the purposes set out above and shall remain the Confidential Information of the Customer. In relation to VoIP Service call recording conducted on behalf of the Customer, to the extent that any such call includes any personal data yurmobile.com shall act as the Customer’s data processor when processing such personal data.

20.1
In consideration of Us entering into the Contract with the Customer, the director of the Customer (and where there is more than one, each director jointly and severally) indemnifies Us against all liabilities, costs, expenses, damages and losses (including but not limited to any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by Us arising out of or in connection with:

(a) breach or negligent performance or non-performance of the Contract; and
(b) the enforcement of the Contract.

1.1
Definitions

Account: The Customer’s account for the provision of Services and/or Mobile Equipment under
the Contract.
Administration Fee: the amount of £50 per Line.
Business Day: a day other than a Saturday, Sunday or public holiday in England, when banks in London are open for business.
Buyout: has the meaning set out in clause 10.
Cancellation Fees: the Term Fees, the return of any Buyout paid by Yourmobile.com to the Customer, the return of any Deal Incentives paid by Yourmobile.com to the Customer and the recommended retail price of any Mobile Equipment provided by or on behalf of Yourmobile.com to the Customer and the Administration Fee.
Charges: the charges detailed in clause 8.
Commencement Date: means the date upon which the Contract is signed by or on behalf of the Customer (including any electronic signature), or verbal consolidation call.
Conditions: these terms and conditions as amended from time to time in accordance with clause 18.
Contract: the contract between Yourmobile.com and the Customer that is made up of these Conditions and the Order for the supply of Services and/or Mobile Equipment.
Control: shall be as defined in section 1124 of the Corporation Tax Act 2010, and the expression change of control shall be construed accordingly.
Customer or You: the party Yourmobile.com contracts with to provide the Services and/or Mobile Equipment.

Data Protection Legislation:
(i) the Data Protection Act 1998 unless and until that legislation is repealed;
(ii) unless and until the GDPR is no longer directly applicable in the UK, the General Data Protection Regulation ((EU) 2016/679) and any national implementing laws, regulations and secondary legislation, as amended or updated from time to time, in the UK and then
(iii) any successor legislation to the GDPR or the Data Protection Act 1998

Deal Incentive: a monthly discount offered by Yourmobile.com to the Customer as against the charges under the Network Contract for the amount specified in the Order and for the period specified in the Order (where no period is specified in the Order the discount shall be payable until the Review point detailed in clause 15).
Delivery Location: has the meaning given in clause 3
Fair Usage Policy: 3000 minutes to a UK landline or mobile number in any calendar month.
Force Majeure Event: has the meaning given to it in clause 17.
Line: a mobile communications telephone number commencing with the number 07. Minimum Period: the minimum period of the Contract of 3 years from the Commencement Date or connection of the Services (whichever is the latter) or such other longer period as may be specified in the Order or the Network Contract (including, but not limited to, a period referred to in the Order as contract length, length, term, minimum term, period or contract period).
Mobile Equipment: any mobile or wireless device, handset, tablet, USB data drive, data card, memory card, SIM card or similar device or card provided to the Customer under the Contract and or the Mobile Equipment Contract for use in connection with the Services. Mobile Equipment Contract: the mobile equipment contract between the customer and a third party whereby some or all of the Mobile equipment detailed in the Order is provided to the Customer by a third party.
MVNO Services means services whereby Yourmobile.com are providing telephone and data spectrum from a Network Provider acting as a mobile virtual network operator (under the name Yourmobile.com or any other name operated by Yourmobile.com) and the provision of telecommunications and data services which does not require the Customer to enter in to a separate Network Contract in addition to the Contract.
Network Contract: a contract entered or to be entered in to between the Customer and a Network Provider in addition to the Contract for the provision of Network Services
Network Provider means a third party telecommunications network provider including, but not limited to EE Limited, Plan Communications Ltd, Vodafone Limited or Telefonica UK Ltd (O2).
Network Services: the supply of telecommunications or data services provided by a Network Provider.
Order: the Customer’s order for the supply of Services and/or Mobile Equipment, as set out in the E-contract or verification call
Personal Data: has the meaning given in the Data Protection Legislation.
Purchase Order: any purchase order issued by Yourmobile.com to the Customer detailing the Services and subsequently signed by or on behalf of the Customer.
Services: the services supplied by Yourmobile.com to the Customer as set out in the Order including, but not limited to MVNO Services or the procurement of Network Services.
Term Fees: in respect of MVNO Services, the fees calculated by multiplying the remaining number of months of the Minimum Period by the monthly charges for the Services or £100 whichever is the higher amount

1.2 Interpretation:
(a) A person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality).
(b) A reference to a party includes its personal representatives, successors and permitted assigns.
(c) A reference to a statute or statutory provision is a reference to it as amended or re-enacted.

A reference to a statute or statutory provision includes all subordinate legislation made under that statute or statutory provision.
(d) Any words following the terms including, include, in particular, for example or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.

21.1
The Customer shall, within ten (10) Business Days after any request, provide Yourmobile.com with any financial information as reasonably requested by Yourmobile.com.

21.2
Yourmobile.com may, in accordance with the terms of the Agreement, credit assess the Customer from time to time as reasonably required to ascertain the Customer’s credit worthiness and any risk as part of the Order process.

21.3
In order to manage the Customer’s Yourmobile.com account Yourmobile.com, and/or its Partners may make periodic searches the Customer and the Customer Affiliates against:

Yourmobile.com’s existing records;

a) business records and consumer records, if Customer is a sole trader or company directors if Customer is a limited company, at credit reference agencies (“Credit Agencies”) including both public (including the electoral register) and fraud prevention information. When Credit Reference Agencies receive a search from Yourmobile.com they will place a search footprint on the Customer business credit file (and consumer credit file if Customer is a sole trader) that may be seen by other lenders;

b) records held by fraud prevention agencies (“Fraud Agencies”); and

c) if the Customer’s representative is also a statutory director, Yourmobile.com may seek confirmation from Credit Agencies that the residential address provided to it is the same as that shown on the restricted register of directors’ usual addresses at Companies House.

21.4
The Customer agrees that Yourmobile.com and/or its Partners may conduct these checks and register information about Customer and the conduct of Customer’s account with Credit Agencies and Fraud Agencies.

21.5
If the Customer does not pay the Charges when they become due and payable, Credit Agencies may record the outstanding debt which will remain on file for six years after they are closed (whether by settlement or default). Such records may be supplied to other organisations by Credit Agencies and Fraud Agencies to perform similar checks and to trace the Customer’s whereabouts and recover debts owed by the Customer.

21.6
If the Customer gives Yourmobile.com false or inaccurate information and Yourmobile.com suspects or identifies fraud Yourmobile.com will record this and may also pass this information to Fraud Agencies and other organisations involved in crime and fraud prevention.

21.7
If the Customer requests it, Yourmobile.com will provide the Customer with contact details for the Credit Reference Agencies which Yourmobile.com uses in the UK. Details of the relevant Fraud Agencies are available from Yourmobile.com on written request.

22.1
Failure to return a loan handset when a new/repaired handset has been returned to the customer will result in an administration charge of £100 per handset.

Upon delivery, all items will require a signature confirming receipt of the goods in the correct condition.

Any goods that do not arrive in the correct condition, Yourmobile.com must be informed the same day.

Any undeliverable goods will be returned to the trading offices of Yourmobile.com no less than 7 working days after the first delivery attempt, unless otherwise agreed by the customer and/or carrier.

Once notified of delivery by our couriers Yourmobile.com accepts no responsibility for loss and damage to goods.

23.1.
The Customer confirms that the information that is provided to Yourmobile.com, including Customer registration details, information provided in relation to this Agreement is true, accurate and complete. The Customer agrees to inform yourmobile.com immediately of any changes to the Customer’s details by contacting Yourmobile.com’s customer services on [email protected].
23.2.
The Customer has a right to ask for a copy of the personal information held about it by Yourmobile.com (for a small charge) and to correct any inaccuracies.
